TERMS & CONDITIONS - Retailers

The Middleton Doll Company distributes its products only through dealers who are willing and able to commit the resources necessary to display and market our products in a manner that will maintain the integrity represented by the Lee Middleton Original Dolls and Newborn Nursery brands and The Middleton Doll Company's reputation for high quality products. In short, we wish to have our products available for purchase by consumers from knowledgeable representatives at authorized The Middleton Doll Company dealers.

In keeping with that goal, The Middleton Doll Company will sell products only to:

• Dealers who maintain in-store displays, catalogue presentations and customer service levels consistent with standards set by The Middleton Doll Company

• Dealers who advertise, promote and market our product in a manner, and on terms, consistent with the product's image

The Middleton Doll Company reserves the right to terminate any existing dealer at any time, consistent with the policies set forth above. The Middleton Doll Company reserves the right to choose its dealers at its sole discretion, and to choose to supply or decline to supply products to existing or potential dealers at its option.

• Retailers may only sell The Middleton Doll Company products from their authorized retail location or through their own company-generated catalogs or the retailers' website.
• Retailer will not offer or sell any The Middleton Doll Company product via internet auction (such as e-Bay), or transship to other retailers without the written approval of The Middleton Company.
• All orders, with the exception of EDI orders, must be placed directly with your Sales Representative. All orders must be placed in writing. No phone orders will be accepted.
• All orders must contain a Start Ship & Cancel Date. Orders that omit a start date will be " shipped as ready". * Orders that omit a cancel date will be assigned a cancel date of December 15th of the year in which the order was received.
• The Middleton Doll Company will make every effort to fulfill requested time period of shipment, but reserves the right to ship merchandise as production schedules permit.
• Orders will be filled on a first come, first served basis.
• Due to the handmade nature of each of our creations, product contents and color may vary. Quantities are limited.
• The Middleton Doll Company cannot fulfill requests for special consumer orders nor honor Dealer "back-up" orders.
• Invoices not paid when due are subject to a separate charge of 1.33% per month. * Order cancellations should be received in writing 60 days or more prior to the order cancellation date.
• Labeling and packaging outside of our normal specifications will be assessed an additional shipping and handling fee.
• Damaged or Defective Merchandise: Damaged or defective merchandise must be returned for repair within 30 days from date of invoice with a return authorization (RA). To obtain approval for an RA, customers must fax their request with the number of cartons noted to (717) 537-4180 or email to salesorders@alexdoll.com. Merchandise shipped to The Middleton Doll Company without an RA will not be accepted.
• Refused orders or products returned without a return authorization number will be assessed a 15% restocking fee.
• Product returned for reasons other than mis-shipment, damage, or defects will be assessed a 15% restocking fee.
• All prices are subject to change without notice
• Pricing will be determined by the price list in effect at the time of the order.
